Goodwin Oak

Searching for our first acquisition.

Goodwin Oak is a new investment company based in Charlotte, North Carolina. We are actively evaluating businesses across the Southeast that meet our criteria for a full acquisition.

What we look for.

We have a specific profile. If a business does not meet these parameters, we say so in the first conversation.

Revenue

$3M - $10M

Profitable, with a clear line of sight to durable free cash flow.

EBITDA

$750K - $1.1M

Consistently growing businesses with margins that hold through a cycle.

Geography

The Southeast

Carolinas first, then Georgia, Tennessee, and Virginia.

Structure

Full acquisition

Asset purchases or stock transfers. We do not take minority positions.

How we acquire.

We purchase businesses outright through a full asset buyout or stock transfer. We do not take minority positions or pursue partial ownership. When we buy, we buy the whole company.

Full asset purchase or stock transfer

Clean, simple transaction structures. We work with your counsel to determine which path is best for your tax and liability situation.

The operator can stay

If you want to stay involved after close, we welcome it. If you want a clean break, we plan for that from day one.

Conservative capital structure

We underwrite to what the business earns, not to what a lender will allow. The company should be stronger the day after close, not more leveraged.

Where we look

Four sectors we know from the inside.

We stay inside our circle. If a business falls outside these categories we will tell you in the first call.

Industrial services

Specialty contracting, testing and inspection, equipment maintenance. Businesses whose customers cannot defer the work.

Business services

Compliance-driven, recurring-revenue services where switching costs are real and reputation compounds.

Building products

Manufacturers and distributors serving Southeastern construction, with defensible regional density.

Healthcare services

Multi-site provider platforms and the back-office businesses that keep them running.

From first call to close in twelve weeks.

Every step is transparent, and the decision to continue is always yours.

Week 1

First conversation

A direct, confidential conversation with a partner, not an associate working a call list. We will tell you inside one meeting whether we are a fit.

Weeks 2-3

Indication of value

A written range with the arithmetic behind it, so you can evaluate us before you spend a dollar on advisors.

Weeks 4-9

Diligence

On-site, hands-on, and scoped to what actually matters. We fund our own third-party work and keep the burden off your finance team.

Weeks 10-12

Close and continue

Funds wired, and then the part most firms skip: a hundred-day plan built with your leadership, not handed to them.
